Ziel der Arbeit ist, den Franchisevertrag im Anschluß an die Gruppenfreistellungsverordnung für Franchisevereinbarungen rechtssystematisch einzuordnen. Diese Einordnung erfolgt anhand der folgenden fünf Auslegungsregeln für Gruppenfreistellungsverordnungen: Verbale Auslegung - Systematische Auslegung - Historische Auslegung - Teleologische Auslegung - Auslegung nach allgemeinen Rechtsgrundsätezn. Im Ergebnis wird der Franchisevertrag insgesamt als Lizenzvertrag eingeordnet, wobei es nicht darauf ankommt, ob Vertragsgegenstand die Erbringung von Dienstleistungen oder der Vertrieb von Waren ist. Trotz der Dominanz der lizenzvertraglichen Elemente sind daneben auch die zum Vertragshändlervertrag entwickelten Grundsätze anwendbar.
